1. About us

These Terms of Business apply to all work carried out by Judd & Judd Limited, trading as Judd Water & Wastewater Consultants ("we", "us", "our").

Our services include:

  • professional consultancy services
  • bespoke training services, and
  • books and other publications.

Our full company details appear at the end of this document.

2. Application and order of precedence

These Terms of Business apply to all contracts between us and our clients ("you", "Client"), unless we agree otherwise in writing.

If there is any inconsistency between documents, the following order of precedence applies:

  1. any written agreement or proposal expressly agreed between us
  2. these Terms of Business
  3. our Training Terms and Conditions (where applicable), and
  4. our Website Terms of Use.

3. Scope of services

We provide professional consultancy and training services in the field of water and wastewater treatment.

Our services are provided with reasonable skill and care, in accordance with accepted professional standards.

Unless expressly agreed otherwise in writing:

  • our services are advisory in nature
  • we do not guarantee any specific outcome, performance level or result, and
  • responsibility for implementing our advice, and for any resulting outcomes, remains with you.

4. Proposals and contract formation

Any proposal, quotation or scope of work we provide is valid for the period stated.

A binding contract is formed when:

  • you confirm acceptance of our proposal or quotation in writing (including by email).

We will not normally begin work until written acceptance is received, unless we expressly agree otherwise.

5. Fees and payment

Fees will be as set out in the agreed proposal or otherwise agreed in writing.

Unless agreed otherwise:

  • invoices will be issued in GBP, EUR or USD
  • payment is due within 28 days of the invoice date, and
  • payment must be made by bank transfer.

If payment is late, we reserve the right to:

  • suspend services until payment is received, and
  • charge interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

6. Expenses

Unless stated otherwise, reasonable expenses (including travel and accommodation) incurred in delivering the services may be charged in addition to our fees.

7. Client responsibilities

You agree to:

  • provide accurate, complete and timely information
  • ensure appropriate cooperation and access to personnel, and
  • comply with all applicable laws and regulations in your jurisdiction.

We are not responsible for delays, additional costs or errors arising from incomplete, inaccurate or late information supplied by you.

8. Training services

Where we provide training:

  • training is delivered on a bespoke basis for your organisation
  • delegates must behave professionally at all times, and
  • training materials are provided for internal use only.

Training services are subject to our Training Terms and Conditions, which form part of your contract with us.

9. Books and publications

Unless faulty or supplied in error:

  • books are non-refundable, and
  • delivery times are estimates only.

Risk in physical publications passes to you on delivery.

All intellectual property rights remain with us.

10. Intellectual property

All intellectual property rights in our reports, training materials, books, presentations and other deliverables remain owned by Judd & Judd Limited, unless expressly agreed otherwise in writing.

You are granted a non-exclusive, non-transferable licence to use deliverables internally for your own business purposes only.

You must not copy, distribute, publish, sell, reuse on other projects, or provide deliverables to third parties without our prior written consent.

11. Confidentiality

Each party shall keep confidential any non-public information received from the other in connection with the services.

This obligation does not apply to information that:

  • is already public other than through a breach of confidentiality
  • was lawfully obtained from a third party, or
  • must be disclosed by law or a regulatory authority.

Confidentiality obligations continue for five years after the end of the services.

12. Data protection

We process personal data in accordance with UK data protection law and our Privacy Policy.

Unless agreed otherwise, we act as a data controller in relation to personal data processed for our own business purposes.

Where personal data is transferred outside the UK, appropriate safeguards will be applied.

13. Limitation of liability

Nothing in these Terms of Business limits or excludes liability for:

  • death or personal injury caused by negligence, or
  • fraud or fraudulent misrepresentation.

Subject to this, and to the extent permitted by law:

  • our total liability arising out of or in connection with the services shall not exceed the fees paid to us for the relevant services in the 12 months preceding the claim, and
  • we are not liable for loss of profits, revenue, business, goodwill, data, anticipated savings, or any indirect or consequential loss.

We are not responsible for regulatory, operational or environmental decisions taken by you based on our advice.

14. Force majeure

Neither party shall be liable for failure or delay caused by events beyond reasonable control, including extreme weather, pandemics, strikes or government action.

If such events continue for a prolonged period, either party may terminate the affected services on written notice.

15. Termination

Either party may terminate a contract:

  • immediately if the other commits a material breach and fails to remedy it within a reasonable time after notice, or
  • on written notice where agreed in the relevant proposal.

On termination, you must pay for all services performed and expenses incurred up to the termination date.

16. Governing law and jurisdiction

These Terms of Business are governed by the law of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction, including in relation to international clients.
